Data Processing Agreement

Parties
This Agreement ('Agreement') is entered into between:
- Disclosing Party: My Revue Ltd ('Company', 'we', 'us')
- Receiving Party: [Partner/Contractor/Rep Name] ('Recipient', 'you')
Purpose
The Recipient agrees to receive certain confidential information from the Company for the purpose of evaluating or carrying out a potential or ongoing business relationship with My Revue.
Definition of Confidential Information
Confidential Information includes, but is not limited to:
- Business strategies and plans
- Customer lists and contact details
- Pricing models and commission structures
- Technical data and software documentation
- Marketing materials and unpublished content
- Operational processes and training materials
Confidential Information does not include information that:
- Is publicly known at the time of disclosure or becomes publicly known through no fault of the Recipient
- Is rightfully received by the Recipient from a third party without breach of any obligation
- Is independently developed by the Recipient without use of or reference to the Company’s Confidential Information
Obligations of the Recipient
The Recipient agrees to:
- Keep Confidential Information strictly confidential and not disclose it to any third party without prior written consent from the Company
- Use the Confidential Information solely for the agreed business purpose
- Take reasonable measures to protect the confidentiality of the information
Non-Circumvent Clause
The Recipient agrees not to:
- Directly or indirectly circumvent, bypass, or attempt to work around My Revue to engage with any of its customers, partners, or leads introduced by the Company
- Use Confidential Information to compete with My Revue or to solicit My Revue clients or prospects
This clause shall remain in effect for a period of two (2) years after termination of this Agreement.
Return or Destruction of Information
Upon termination of this Agreement or upon request by the Company, the Recipient shall promptly return or destroy all Confidential Information received.
No License or Ownership
This Agreement does not grant the Recipient any license or ownership rights in the Confidential Information.
Term & Termination
This Agreement is effective as of the last signature date and will remain in force until terminated by either party with thirty (30) days' written notice, except for confidentiality and non-circumvent obligations, which shall survive as described.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of United Kingdom. Any disputes will be resolved in the courts of United Kingdom.
